This Fund-Development Consulting-Services Agreement ("Agreement") is made and entered into

2009 by  and between PAULETTE LONG,

Senior Consultant, and NOT-FOR-PROFIT GRANT WRITERS, d/b/a of PARK AVENUE GRANT WRITERS, INC.,  of 105 East 38th Street, New York, New York, 10016, a resource-development and fund-raising consulting firm (hereinafter referred to as  "Consulting firm"), and

"Client", located at

The parties hereto do hereby agree as follows:
1. Consulting firm agrees to provide resource-development and fund-raising services for Client as an independent contractor. 
2. Consulting firm shall provide all necessary services for the purpose of increasing funding and financial resources of Client, including, but not limited to, researching, drafting, editing, preparing for submission as many proposals as are requested by the client and/or performing other services as described in the "Consulting firm's"
"PRICE LIST" as shown on"Consulting firm's" Web Site, page 7, http://www.nonprofitgrantwriters.com and hereby incorporated by reference. "Consulting firm" shall conduct prospect research at the request of the client and shall provide 25 or more names of suitable prospects to client as described in "Consulting firm's" "PRICE LIST".
Consulting firm shall secure funding by assisting client to: develop proposal concepts,  perform proposal research,  draft proposal (s),  conduct prospect research,  respond to Requests for Proposals, (RFPs) or Notices of Funding Availability (NOFAs),  maintain and provide proposals to client on hard copy and 3.5 diskette,  communicate with funding sources including, but not limited to, corporations, individuals, foundations, governments and governmental agencies and partnerships,  perform any other services on the
"PRICE LIST" selected by the "Client",  seek input and review of proposals with/from the Executive Director, the Board of Directors and/or the staff of Client.
6. Consulting firm shall provide weekly or more frequent progress or status reports to the Project Director or other designated officer (s) and/or the Board of Directors, setting forth in detail the status of each application, proposal or other service rendered by the "Consulting firm".
7. Consulting firm shall use best efforts to secure financial support from corporations, individuals, foundations, governments and governmental agencies, partnerships or other organizations.
8. Consulting firm shall be accessible and shall be available to attend meetings to discuss, review, or otherwise consult on funding proposals and fund-raising, for a fee to be determined on a case-by-case basis.
9. Client shall provide access to its officers, facilities and records as are reasonably necessary for Consulting firm to use in preparing and submitting proposals and otherwise providing resource-development and fund-raising services.  Consulting firm agrees that all records, including funding proposals and documents developed by Consulting firm during the course of this Agreement, are the property of the Client and shall be used solely for the purpose of obtaining funding for "Client" in furtherance of this agreement.
10. Client shall pay to Consulting firm for services rendered under this agreement the sum (s) specified on the "
PRICE LIST" or as otherwise agreed in writing between the "Consulting firm" and the "Client".
11. Payments under this agreement shall be due for work performed in accordance with this agreement prior to commencement of work to be performed for the client.  "Consulting firm" will commence document production or other services within no more than 24 hours of receipt of payment, whether by credit card, check or money order
and execution of this agreement by the parties.
12. The term of this agreement shall be for the period reasonably required in completing the assignment.  "Consulting firm" and "Client" shall mutually agree to the time frame required to complete the assignment.  In most instances it is anticipated that a minimum of three business days will be required to complete the consultation project following payment of fee (s) and execution of this agreement.
13. Notwithstanding anything in this agreement to the contrary, Client shall have the right to terminate this Agreement within 3 (days) after payment and execution of the agreement but prior to completion of the document or service to be rendered.  "Consulting firm" nevertheless shall be entitled to a fee of $100 per hour as settlement for services already rendered on behalf of client in furtherance of the assignment prior to termination of the agreement.
14. Any notices required or permitted to be given under this Agreement shall be sufficient if in writing by e-mail, fax and if either personally delivered to the intended party or mailed to above addresses of the party intended to receive notice.
15. This agreement shall be construed, interpreted, and governed by the laws of the State of New York, and the parties agree that any and all claims or actions under this agreement shall be brought in the Courts of the State of New York.
16. It is understood and agreed that this Agreement expresses the complete and final understanding of the parties hereto, that any and all negotiations and representations not included herein or referred to herein are hereby abrogated, and that the Agreement cannot be changed, modified, or varied except by written instrument signed by all parties.
IN WITNESS WHEREOF, the parties set their hands on the day and year first written above by Web Site execution and by traditional documentary execution by fax.
